TipRanks define Insiders as high-level executives, board members and 10% owners in a publicly traded company. When an insider adds or reduces the number of shares that they own in a company, they are required to report this to the SEC within 2 business days, by submitting a Form-4.
TipRanks Insider Transaction Engine applies NLP and ML engines to extract the information from the SEC forms and analyze the essence of the events that have been reported, this data set covers over 7,500 companies in the US and ~23,000 companies globally, with 12 years of historical archive.
The SEC form can include many line items, some of which report actions made by insiders and some of which provide a status report on the number of shares held by the insider. Our engine unifies the line items in the SEC form into 1, 2, 3 or 4 transactions per form (~89% of forms have 1 transaction, ~10% of forms have 2 transactions, and ~1% of forms have 3 or 4 transactions).
Transactions are classified by our engine into 11 different transaction types and these types are grouped into 4 main categories, as follows:
- Informative Buy Transactions – when an insider adds shares in a way considered by our engine as indicative of the insider’s belief the stock price will go up (e.g. – an open market buy).
- Non-Informative Buy Transactions – when insider added shares, but the engine found no indication of the insider’s expectation regarding the future stock price behavior (e.g. – a grant of shares or options).
- Informative Sell Transactions – insider disposed of shares in a way considered by our engine as indicative of the insider’s belief the stock price may go down (e.g. – when an insider exercises options and then sells all the shares).
- Non-Informative Sell – insider disposed of shares, but the engine found no indication of the insider’s expectation regarding the future stock price behavior
The Extended Insider Transaction Feed has now been formatted to facilitate alpha generation through systematic algorithms. The data feed is available via files uploaded to Snowflake/FTP on an hourly basis.
Below is a description of the data columns available in the dataset :
- OperationID – the internal operation ID of the transaction
- SECFormID – the internal ID of the SEC form being analyzed.
- SignatureDate – the date on which the insider signed the Form-4.
- SubmissionDate – the date on which the form was submitted to the SEC.
- UTCProcessingTimestamp – the date on which the transaction was analyzed.
- InsiderID – the identifier of this insider in the SEC.
- InsiderName – the name of the insider as reported in the Form-4
- Action – whether this is a Buy or a Sell transaction
- ActionType – can be one of the 4 action types described above
- DetailedType – a more detailed classification into 11 transaction types:
- Description – a brief description of the DetailedType column.
- SharesBought – the number of shares bought in this transaction
- SharesSold – the number of shares sold in this transaction
- BuyPrice – the average price in which shares were bought in this transaction
- SellPrice – the average price in which shares were sold in this transaction
- ExercisePrice – the average price in which options were exercised
- ExpirationDate – the expiration date of options exercised in this transaction
- TransactionValue – the amount of money exchanged in this transaction.
- OwnershipChange – the percent change of the insider ownership in the company
- Ticker, DisplayName, ISIN, FIGI, GlobalFIGI – various identifiers of the security
- IsDirector – is the insider a director in the company.
- IsTenPercentOwner – is the insider a 10%+ owner in
- IsOfficer – is the insider an officer in the company.
- IsOther – is the insider defined an insider for a different reason.
- OfficerTitle – the title of the officer at the company (for entries with IsOfficer = 1)
- IsCFO – is this officer the CFO / VP finance of the company
- IsCEO – is this officer the CEO of the company
- InsiderState – the state of residence of the insider.
- InsiderZipCode – the ZIP code of the insider’s residence.
